Terms of Service

By accessing or using the PartsBid platform ("Platform"), including the website at partsbid.com and all associated services, APIs, and mobile applications (collectively, the "Services"), you ("User", "you", or "your") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a binding legal agreement between you and PartsBid ("Company", "we", "us", or "our"), a B2B inquiry platform operating within the Gulf Cooperation Council (GCC) region and the broader Middle East and North Africa (MENA) territory.

By registering an account, you represent and warrant that you are authorised to bind the company or entity you represent and that you have full capacity to enter into contracts under the applicable laws of your jurisdiction, including but not limited to the laws of the Kingdom of Saudi Arabia, the United Arab Emirates, Kuwait, Qatar, Bahrain, and Oman.

PartsBid is a Business-to-Business (B2B) electronic inquiry platform that connects buyers seeking industrial spare parts and equipment with verified suppliers across the GCC and MENA region. The Platform facilitates:

• Creation and distribution of Requests for Quotation (RFQs)
• Submission of quotes and responses by suppliers
• Evaluation and awarding of quotations
• Product catalogue management for suppliers
• Communication between verified parties

PartsBid acts solely as an intermediary platform. We are not a party to any transaction between buyers and suppliers. We do not manufacture, store, ship, inspect, or guarantee any products or services listed on the Platform.

3. User Accounts & Registration

3.1 Eligibility

The Platform is intended exclusively for registered commercial entities. By registering, you represent that:

• You are a legally established business entity with a valid Commercial Registration (CR) or equivalent trade licence.
• You have legal authority to enter into binding contracts on behalf of your organisation.
• You are at least 18 years of age (or the legal age of majority in your jurisdiction).
• All information provided during registration is accurate, complete, and current.

3.2 Account Verification

All accounts are subject to manual verification by PartsBid. We reserve the right to request additional documentation, including but not limited to:

• Commercial Registration (CR) certificate
• VAT registration certificate
• Company letterhead authorisation
• Proof of identity for account administrators

We may suspend or reject any account at our sole discretion without obligation to provide reasons.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. All activities under your account are your responsibility. You must immediately notify PartsBid of any unauthorised access or security breach. PartsBid shall not be held liable for any loss or damage arising from your failure to safeguard your credentials.

4. User Obligations & Conduct

By using the Platform, you agree to:

• Provide accurate and truthful information in RFQs, bids, and listings.
• Comply with all applicable laws and regulations in your jurisdiction, including trade, customs, anti-bribery, anti-corruption, and sanctions laws.
• Not use the Platform for any illegal, fraudulent, or unauthorised purpose.
• Not circumvent the Platform to conduct transactions directly with parties discovered through PartsBid.
• Not upload, share, or distribute content that is misleading, defamatory, harmful, or violates the intellectual property of others.
• Not attempt to reverse-engineer, hack, or disrupt the Platform's infrastructure.
• Not create multiple accounts or impersonate another person or entity.
• Maintain compliance with all applicable export controls and sanctions, including those issued by the United Nations, the Kingdom of Saudi Arabia, the UAE, and other GCC member states.

5.1 No Guarantee of Transactions

PartsBid does not guarantee the completion, quality, legality, or accuracy of any transaction, RFQ, bid, or product listing. The Platform does not act as a buyer, seller, broker, agent, or fulfilment provider.

5.2 Direct Transactions

All commercial agreements, including pricing, payment, delivery, warranties, and dispute resolution between buyers and suppliers, are the sole responsibility of the respective parties. PartsBid is not a party to such agreements.

5.3 Limitation of Liability

In no event shall PartsBid's aggregate liability to you for all claims exceed the total fees paid by you to PartsBid during the twelve (12) months preceding the event giving rise to the claim, or One Hundred US Dollars (USD $100), whichever is lower.

5.4 Indemnification

You agree to defend, indemnify, and hold harmless PartsBid and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

• Your use of the Platform or violation of these Terms.
• Any transaction between you and another User.
• Content you post or transmit through the Platform.
• Your violation of any law, regulation, or third-party right.

6. Intellectual Property

All content, trademarks, logos, design elements, software, and code comprising the PartsBid Platform are the exclusive property of PartsBid or its licensors. No right, title, or interest is transferred to you by using the Platform.

You may not copy, reproduce, distribute, modify, create derivative works from, or publicly display any part of the Platform without prior written permission from PartsBid.

By submitting content (such as product listings, company profiles, or communications), you grant PartsBid a non-exclusive, worldwide, royalty-free licence to use, host, store, display, and distribute such content for the purposes of operating and improving the Platform.

7. Data Protection & Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data in compliance with applicable data protection laws, including:

• Saudi Arabia Personal Data Protection Law (PDPL)
• UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection
• Qatar Law No. 13 of 2016 on Personal Data Privacy Protection
• Bahrain Personal Data Protection Law (PDPL) No. 30 of 2018
• Other applicable GCC data protection regulations

8. Fees & Payment

PartsBid reserves the right to charge fees for premium services, subscription plans, or featured listings. Any applicable fees will be clearly communicated to you before incurring charges.

All fees are exclusive of applicable Value Added Tax (VAT), which shall be charged at the prevailing rate in your jurisdiction (e.g., 15% in Saudi Arabia, 5% in UAE).

Fees once paid are non-refundable unless explicitly stated otherwise in a separate written agreement.

9. Suspension & Termination

PartsBid reserves the right to suspend, restrict, or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms.
• Suspected fraudulent or unlawful activity.
• Inactivity exceeding twelve (12) consecutive months.
• Failure to complete verification requirements.
• Request by law enforcement or government authority.

Upon termination, your right to use the Platform ceases immediately. PartsBid shall have no liability to you for any termination of access. Data retention upon termination is governed by our Privacy Policy and applicable law.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. PartsBid disclaims all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose.
• Non-infringement of intellectual property rights.
• Accuracy, reliability, or completeness of any content.
• Uninterrupted or error-free operation.
• Security against unauthorised access or data loss.

PartsBid does not endorse, verify, or guarantee the identity, reliability, or credentials of any User, their products, or their commercial standing.

11. Force Majeure

PartsBid shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, civil unrest, labour disputes, internet outages, cyberattacks, sanctions, or regulatory changes.

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration administered by the Saudi Center for Commercial Arbitration (SCCA) in accordance with its rules. The seat of arbitration shall be Riyadh, Kingdom of Saudi Arabia. The language of arbitration shall be English.

Notwithstanding the above, PartsBid reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13. Anti-Bribery & Anti-Corruption

You represent and warrant that you shall comply with all applicable anti-bribery and anti-corruption laws, including the Saudi Anti-Bribery Law (Royal Decree No. M/36) and the UAE Federal Decree-Law No. 20 of 2018. You shall not, directly or indirectly, offer, promise, give, or authorise any bribe, kickback, or other improper payment or benefit in connection with your use of the Platform.

14. Modifications to Terms

PartsBid reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PartsBid. No waiver of any right shall be deemed a further or continuing waiver.
